1. Agreement

These Terms of Use ("Terms") govern your use of EGP Tools at tools.equitygpllc.com (the "Service"), operated by Equity Growth Partners LLC ("EGP", "we", "us"). By using the Service, creating an account, starting a trial, or purchasing a subscription, you agree to these Terms and to our Privacy Policy.

The Equity Growth Partners Terms & Conditions also apply to the Service and are incorporated by reference. If the two conflict on a point specific to the Service (accounts, trials, subscriptions, or the tools themselves), these Terms control.

If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" includes it. You must be at least 18 years old.

2. What the Service is, and is not

The Service provides calculators, models, estimators, report builders, and related tools for business owners, investors, and professionals. Some tools are free. Others ("Pro tools") require a paid subscription. Members-area features such as saved deals, dashboards, and proposals require an account.

Outputs are estimates for planning purposes only. They depend entirely on the numbers you enter and on general assumptions, defaults, and benchmark data that will not match every situation. Nothing on the Service is financial, investment, legal, tax, accounting, lending, insurance, or regulatory compliance advice, and no output creates a professional relationship with EGP or any EGP company. Verify results with your own records and qualified professionals before acting on them. In particular, the funeral tools help you draft and self-audit price lists; they do not certify compliance with the FTC Funeral Rule or any state rule, and a licensed attorney or your state association should review any price list before use.

3. Accounts

Provide accurate information and keep it current. One person per account. You may not share sign-in credentials, and you are responsible for everything done under your account.
Keep your password secure. Tell us promptly at info@equitygpllc.com if you suspect unauthorized access.
We may suspend or close an account that violates these Terms, that we reasonably believe is being used fraudulently or abusively, or that has been inactive for more than twelve months with no subscription.

4. Free trial

New accounts receive a seven-day free trial of the Pro tools in the eight open verticals (Real Estate, Construction & Home Services, Business Services, Hospitality, Transportation, Retail, Health & Wellness, and Marketing). No payment method is required to start a trial, and nothing is charged when it ends. When the trial ends, Pro tools lock until you purchase a subscription. Free tools remain free. One trial per person or company; we may decline or end trials we believe are duplicates.

5. Subscriptions, billing, and cancellation

Plans and pricing

Current plans and prices are listed on the Pricing page. Some plans are priced per location or per fleet; the number of locations or fleets you use must match what you pay for. Prices exclude any applicable taxes, which are added where required.

Automatic renewal

Subscriptions renew automatically at the end of each monthly or annual term at the then-current price for your plan until you cancel. By subscribing you authorize EGP and its payment processor to charge the payment method on file for each renewal.

Payment processing

Checkout and billing are handled by GoHighLevel and its payment processor. EGP does not receive or store your full card number.

Failed payments

If a renewal payment fails, we will notify you and retry. Access continues for a grace period of up to 14 days. If payment is not received by the end of the grace period, Pro access is suspended until your billing is updated.

Price changes

We may change prices with at least 30 days' notice by email to the address on your account. A change takes effect at your next renewal after the notice period. If you do not agree, cancel before that renewal.

Cancellation and refunds

You may cancel at any time from your account page or by emailing info@equitygpllc.com. Cancellation stops future renewals; you keep access through the end of the period you have paid for. Fees already paid are non-refundable, and we do not prorate partial months or years, except where a refund is required by law or where we choose to offer one in our discretion.

6. Permitted use and license

Subject to these Terms, EGP grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business or personal use. Pro tools may be used only while your subscription is active and only for the locations or fleets covered by it.

The White-Label Family Estimator and any other embeddable tool may be published on a website you own or control, with EGP's branding requirements intact, only while your subscription is active. That right ends when your subscription ends.

You may not

Copy, reproduce, republish, frame, or redistribute any tool, or offer any tool or its output as part of a competing product or service.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the formulas, methodologies, source code, cost catalogs, benchmark data, default assumptions, or other data underlying any tool, or use developer tools, scripts, or other means to extract them.
Use bots, crawlers, scrapers, or other automated means to access the Service or collect content from it, or make bulk or systematic requests to our servers.
Bypass, disable, or interfere with any access control, subscription check, rate limit, or security feature.
Share an account, resell access, or provide the Service to third parties as a service bureau.
Remove or alter any copyright, trademark, or proprietary notice.
Upload anything unlawful, infringing, or malicious, or use the Service in violation of any law.

We may investigate violations and take any action we consider appropriate, including suspending or terminating your account and pursuing legal remedies.

7. Your content

The numbers you enter, the records you save, and the reports and proposals you generate for your own business ("Your Content") belong to you. You grant EGP a license to store, process, transmit, and display Your Content as needed to provide the Service and to keep backups. You are responsible for Your Content and for having the right to use any information you enter. We may delete Your Content after your account closes as described in the Privacy Policy. Keep your own copies of anything important.

8. Intellectual property

The Service and everything in it, including the calculators, models, formulas, methodologies, cost catalogs, benchmark and default data, text, page designs, graphics, and software, and the names Equity Growth Partners, EGP, and EGP Tools, are owned by EGP or its licensors and are protected by United States and international copyright, trademark, trade secret, and other laws. Except for the limited license in Section 6, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services

The Service relies on third-party providers for authentication, hosting, billing, and messaging, and it links to other websites, including EGP portfolio company sites. Those providers and sites have their own terms and privacy practices, which we do not control.

10. Availability and changes

We work to keep the Service available, but it is provided without any uptime guarantee. We may add, change, or remove tools and features, and we may update default data and assumptions, at any time. If we discontinue a Pro tool that is central to your plan during a paid term, we will offer a comparable tool or a prorated credit for the remainder of that term.

11. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. EGP DOES NOT WARRANT THAT ANY OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY DECISION, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE OUTPUTS AT YOUR OWN RISK.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EGP AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATED COMPANIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. EGP'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE SUBSCRIPTION FEES YOU PAID TO EGP IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless EGP and its members, managers, officers, employees, agents, and affiliated companies from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any law.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately for a breach of these Terms, and otherwise on notice. Sections 6 through 8 and 11 through 16 survive termination. Termination does not entitle you to a refund except as stated in Section 5.

15. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Before filing any claim, you agree to contact us at info@equitygpllc.com and attempt in good faith to resolve the dispute informally for 30 days. Any claim not resolved informally must be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction and venue. Nothing in this section limits EGP's right to seek injunctive relief in any court for infringement of its intellectual property or other irreparable harm.

16. General

These Terms, the Privacy Policy, and the incorporated Equity Growth Partners Terms & Conditions are the entire agreement between you and EGP about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the email address on your account.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the effective date above, and account holders will receive notice by email at least 14 days before they take effect. Continued use of the Service after that date means you accept the updated Terms.
